The parties’ summary describes a proposed acquisition of exclusive control in dietary supplement distribution. This follows the acquisition agreement announced in late October, completion of which remained conditional on the Council’s approval among other requirements.

The authority says publication does not prejudge its position on the transaction or establish that the filing is complete. Notification must therefore not be presented as clearance for the purchase or as an already completed takeover.

The group intends to make the transaction the foundation of a wellness and consumer health business alongside general medicine, specialised products and dialysis. It plans to use its distribution networks to develop Ramo Pharm’s brands in Morocco and internationally.

The announcement concerns a signed agreement and does not establish that control has already transferred. According to Le Desk, neither the purchase price nor the completion timetable has been disclosed. Growth and operating synergies remain Sothema’s objectives.
